TERMS OF SERVICE
Last Updated: October 24, 2026
AGREEMENT TO TERMS
These Terms of Service (“Terms”) are entered into between The Vital Feminine LLC, a California limited liability company (“we,” “us,” or “our”), and you, the individual accessing our Website or purchasing our products (“Customer,” “you,” or “your”).
These Terms govern your access to and use of the website located at www.thevitalfeminine.com (the “Website”) and all products and services we offer through it, including, but not limited to:
The Vital Feminine™ Guide (the “Guide”), our paid e-book; and
a free excerpt of the Guide (the “Preview”) and any other free content, materials, or resources we make available (together with the Preview, the “Free Content”)
(collectively, the “Services”).
By accessing or using the Website, subscribing to our mailing list, or requesting, purchasing, or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Website or the Services.
Our coaching is offered only by separate written agreement. Submitting an interest form through the Website does not create a coaching relationship or obligate either of us to enter one. Where you and we sign a coaching agreement, that agreement governs that engagement and controls over these Terms in the event of conflict; these Terms continue to govern your use of the Website and the Services.
1. ELIGIBILITY
The Website and Services are intended solely for individuals 18 years of age or older. By using the Website or purchasing any Service, you represent that you are at least 18 years of age, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms.
2. NATURE OF THE WEBSITE AND SERVICES
Our Website and our Services are informational and educational in nature. They do not constitute medical advice, diagnosis, or treatment.
The Vital Feminine LLC is not a licensed healthcare provider, medical practice, or clinical entity, and does not act as one. No physician-patient or other clinical relationship is created by your use of the Website or the Services.
Any testimonials, case studies, sample reports, or results shared by us are illustrative only and are not a guarantee, warranty, or prediction of your outcome. Results vary based on individual circumstances.
These provisions are supplemented by our Medical Disclaimer, which is incorporated into these Terms by reference.
3. THE SERVICES
3.1 Free Content
Free Content is provided at no charge and, where applicable, is delivered by email or download link. Unsubscribing from our emails does not revoke your license to any Free Content you have already received.
We may modify, discontinue, or withdraw any Free Content at any time without notice.
3.2 The Guide
The Guide is a digital product delivered by email or download link following purchase. Delivery is deemed complete upon transmission of the email or download link. You are responsible for providing an accurate email address and for retaining your copy; we are not obligated to provide replacement copies, though we may do so as a courtesy.
3.3 License to the Guide and Free Content
The Guide and all Free Content are licensed, not sold. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access, view, download, and print one copy for your own personal, non-commercial use, including completing any worksheet or template for your personal use.
You may not:
(a) reproduce, republish, distribute, sell, rent, sublicense, or otherwise transfer the Guide or any Free Content, in whole or in part;
(b) share, post, upload, or make the Guide or any Free Content available to any third party, including, but not limited to, by file-sharing, group access, screenshotting, screen recording, or password sharing;
(c) use the Guide or any Free Content, or its contents, in your own coaching, teaching, consulting, or commercial materials;
(d) create derivative works from the Guide or any Free Content, other than as expressly permitted above;
(e) remove, obscure, or alter any copyright, trademark, or proprietary notice; or
(f) use the Guide or any Free Content, or its contents, to train, fine-tune, or develop any artificial intelligence or machine learning model, or input either into any such system.
Any copyright or license notice appearing within the Guide or any Free Content is provided for convenience only; these Terms control in the event of any conflict.
This license terminates automatically upon your breach of this Section, and you must then destroy all copies in your possession. Termination of the license does not entitle you to a refund and does not limit any other remedy available to us.
3.4 Interest Forms
We may offer forms through which you can express interest in services not sold on the Website. Submitting a form is optional and voluntary, and is a request for information only. Submitting a form does not create a coaching relationship; no relationship exists until we have both signed a coaching agreement and payment has been processed. We are under no obligation to respond, to offer you any service, or to accept you as a client, and we may decline for any reason.
4. PAYMENT
Pricing and Billing. All fees are stated at the time of purchase and are payable in full at checkout through our third-party payment processor. Prices are in U.S. dollars and are subject to change; changes do not affect purchases already completed. You are responsible for any applicable taxes.
Failed Payments. If your payment is declined, your purchase will not be completed and no access will be granted. Contact hello@thevitalfeminine.com with any payment issue.
Chargebacks. If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we may dispute it and submit documentation of your purchase and our delivery of the Service. We may suspend or terminate your access to any Service pending resolution, and you remain responsible for amounts owed and any fees we incur.
5. REFUNDS AND CANCELLATION
The Guide. All sales of the Guide are final and non-refundable once the email or download link has been transmitted. This is a digital good delivered immediately upon purchase, and you expressly consent to immediate delivery and waive any right of cancellation to the extent permitted by law.
Free Content. Free Content is provided at no charge and no refund is available.
If we cannot deliver. If we are unable to deliver a Service due to circumstances within our control, you will be offered a refund of the fee paid for the undelivered portion.
6. CUSTOMER RESPONSIBILITIES
By requesting, purchasing, or using any Service, or by submitting a form to us, you agree to:
(a) provide accurate, truthful, and complete information in all forms you submit to us, and to keep your email address current;
(b) consult a qualified healthcare provider before changing your diet, supplements, exercise, medications, or other health or lifestyle practices;
(c) assume full responsibility for your own health decisions and for any outcome arising from your use of, or reliance on, the Website and Services;
(d) engage respectfully in all communications. Harassing, abusive, or threatening conduct will result in immediate termination of Services without refund; and
(e) receive transactional emails relating to your request or purchase, and marketing emails from us. You may unsubscribe from marketing emails at any time; transactional emails are not optional while a Service is active.
7. INTELLECTUAL PROPERTY
The Website, the Services, and all of their contents — including, but not limited to, text, graphics, images, code, written content, educational materials, The Vital Feminine™ Framework, The Vital Feminine™ Audit and its samples, The Vital Feminine™ Audit Report and its template and samples, the Guide, and all Free Content — are the property of The Vital Feminine LLC or its licensors, are copyrighted as a collective work, and are protected by United States and international intellectual property laws. “The Vital Feminine,” together with all of our product and service names and associated logos, are our trademarks.
You are granted a limited, non-exclusive, non-transferable, revocable license to access the Website for your own personal, non-commercial use, and may save or print portions for personal reference only. All other use requires our prior written permission. The Guide and Free Content are licensed separately under Section 3.3.
Nothing in these Terms transfers any ownership interest to you.
8. PROHIBITED CONDUCT
You agree not to:
(a) use any content from the Website or Services for commercial purposes or financial gain without our written permission;
(b) reproduce, republish, scrape, mine, or redistribute any content, including, but not limited to, educational materials, frameworks, forms, assessments, sample reports, or written copy;
(c) use any content to train, fine-tune, or develop any artificial intelligence or machine learning model;
(d) post or transmit content that is unlawful, harassing, defamatory, obscene, threatening, or otherwise objectionable;
(e) impersonate The Vital Feminine LLC, its members, or any other person or entity;
(f) upload or transmit viruses, malware, or other harmful code, or attempt to gain unauthorized access to any part of the Website or our systems; or
(g) use the Website or Services in violation of any applicable law.
9. USER CONTENT
If you submit content to us through forms, email, social media, or any other channel — including, but not limited to, photos, videos, testimonials, reviews, ideas, suggestions, and posts (“User Content”) — you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, modify, and display that User Content in connection with the operation and promotion of our business.
You represent that you own or have the right to submit any User Content you provide and that it is not unlawful, defamatory, invasive of privacy or publicity rights, abusive, or otherwise objectionable. We may decline, remove, or refuse any User Content for any reason.
Information you provide to us through an interest form, an assessment, or a coaching session is not User Content and will not be used for marketing or testimonials without your separate written consent.
10. PRIVACY
Our Privacy Policy and Consumer Health Data Privacy Policy describe how we collect, use, and share your information.
You acknowledge that all digital transmission carries inherent security risk that you voluntarily assume.
You acknowledge that The Vital Feminine LLC is not a "covered entity" under HIPAA and that our records are business records, not clinical medical records.
11. THIRD-PARTY LINKS AND SERVICES
The Website and Services may link to or rely on third-party websites and platforms, including, but not limited to, payment processors, form and scheduling tools, and email providers. We do not control and are not responsible for third-party content, practices, availability, or security. Review the terms and privacy policies of any third-party website or service before providing your information.
12. TERMINATION
Either party may terminate at any time on written notice. Upon termination:
(a) any amounts owed to us become immediately due;
(b) refunds, if any, are governed solely by Section 5;
(c) your licenses under Sections 3.3 and 7 terminate if termination results from your breach, and you must cease all use of the Guide and any Free Content; and
(d) any provision that by its nature should survive termination continues in effect.
We may suspend or terminate your access to any Service immediately and without refund for abusive, threatening, or harmful conduct, non-payment, or breach of these Terms.
13. DISCLAIMER OF WARRANTIES
THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VITAL FEMININE LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATION OR WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF THE WEBSITE OR SERVICES FOR YOUR CIRCUMSTANCES, OR THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE MAKE NO GUARANTEE OF ANY PARTICULAR HEALTH, PHYSICAL, MENTAL, EMOTIONAL, OR FINANCIAL OUTCOME. ANY RELIANCE YOU PLACE ON THE WEBSITE OR SERVICES IS AT YOUR OWN RISK.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, THE TOTAL LIABILITY OF THE VITAL FEMININE LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY, ARISING FROM YOUR USE OF THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR FRAUD OR WILLFUL MISCONDUCT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. INDEMNIFICATION
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE VITAL FEMININE LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS, LOSSES, DAMAGES, LIABILITIES, AND COSTS (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM YOUR USE OF OR RELIANCE ON THE WEBSITE OR SERVICES, YOUR HEALTH DECISIONS, YOUR VIOLATION OF THESE TERMS, OR YOUR INFRINGEMENT OF ANY THIRD-PARTY RIGHT.
16. DISPUTE RESOLUTION AND GOVERNING LAW
Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
Informal Resolution. Before initiating arbitration, the parties agree to attempt in good faith to resolve any dispute through direct communication for thirty (30) days after written notice of the dispute.
Binding Arbitration. If the dispute is not resolved within that period, it shall be resolved by BINDING ARBITRATION administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, seated in California. The arbitrator's award may be entered in any court of competent jurisdiction. Allocation of arbitration fees is governed by the AAA Consumer Arbitration Rules.
Class Action Waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY. YOU AND WE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court and the remaining claims shall proceed in arbitration.
Exceptions and Venue. Either party may bring (i) an action in small claims court, and (ii) an action seeking injunctive relief to stop unauthorized use or infringement of intellectual property. THE EXCLUSIVE VENUE FOR ACTIONS UNDER (ii) SHALL BE THE STATE OR FEDERAL COURTS LOCATED IN CALIFORNIA, and you consent to personal jurisdiction there.
BY AGREEING TO THESE TERMS, YOU AND WE ARE EACH WAIVING THE RIGHT TO BRING DISPUTES TO COURT AND THE RIGHT TO A TRIAL BY JURY, EXCEPT AS EXPRESSLY PROVIDED ABOVE.
Time Limit. Any claim must be brought within one (1) year after the claim arose, or it is permanently barred, to the extent permitted by law.
17. NOTICES
We may provide notice to you by email to the address you provided at purchase or by posting to the Website. FOR MATERIAL CHANGES TO THESE TERMS, WE WILL PROVIDE CONSPICUOUS NOTICE BY EMAIL OR A PROMINENT NOTICE ON THE WEBSITE. Email notices are effective when sent; posted notices are effective upon posting. Keeping your email address current is your responsibility.
Notices to us must be sent to hello@thevitalfeminine.com and are effective one (1) business day after they are sent.
18. CHANGES TO THESE TERMS
We may update these Terms at any time. Changes take effect upon posting to www.thevitalfeminine.com with an updated “Last Updated” date. Your continued use of the Website or Services after changes are posted constitutes acceptance. Changes do not apply retroactively to disputes arising before the change.
19. FORCE MAJEURE AND MODIFICATIONS
We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including, but not limited to, illness, natural disaster, power or internet outage, platform failure, labor disruption, or government action. We will perform as soon as reasonably possible or, where performance is no longer possible, refund the fee paid for the undelivered portion.
We may modify, suspend, or discontinue any part of the Website or any Service at any time without notice, except that we will honor Services already purchased or refund the undelivered portion.
20. GENERAL PROVISIONS
Entire Agreement. These Terms, together with our Medical Disclaimer, constitute the entire agreement between you and us regarding the subject matter, and supersede all prior understandings, whether written or oral. Any separately signed agreement between you and us controls over these Terms as to the engagement it covers.
Assignment. You may not assign or transfer any right or obligation under these Terms without our prior written consent; any attempted assignment is void. We may assign these Terms without restriction, including in connection with a sale of the business.
No Waiver. Our failure to enforce any provision is not a waiver of future enforcement. Waivers are effective only if in writing.
Severability. If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions shall remain in full force and effect.
No Third-Party Beneficiaries. These Terms confer no rights on any person other than you and us, except that the members, officers, employees, and agents of The Vital Feminine LLC are intended beneficiaries of Sections 13, 14, 15, and 16.
Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
Interpretation. The singular includes the plural and the plural includes the singular. Headings are for convenience only. These Terms shall not be construed against the drafting party.
21. COPYRIGHT INFRINGEMENT
If you believe content on the Website infringes your copyright, contact hello@thevitalfeminine.com with a description of the claimed infringement and the location of the content. We will respond promptly and act in accordance with the Digital Millennium Copyright Act.
